End User License Agreement (EULA) Last Updated: September 22, 2024 1. Introduction Digital Footprint ("we," "us," or "our") is the developer and owner of the platform DigitalFootprint.cloud ("Platform"), which provides WhatsApp Cloud API solutions to business users. This End User License Agreement ("Agreement" or "EULA") governs your access to and use of the Platform, including any related documentation and services ("Services"). By accessing or using the Platform, you ("End User" or "Subscriber") agree to be bound by this EULA effective from the date of your first access or use ("Effective Date"). If you do not agree to any part of this EULA, you must immediately cease access to and use of the Platform. 2. End User Warranties By using the Platform, you represent and warrant that you: Are a legitimate business or entity and have the legal capacity to enter into this Agreement. Will use the Platform for legitimate business purposes only and not for unlawful activities. Will comply with all applicable laws and regulations in your use of the Platform. 3. License Grant Digital Footprint grants you a limited, non-exclusive, non-transferable license to access and use the Platform and Services as described in the subscription plan you select ("Subscription Plan"). This license is provided solely for your internal business purposes. You may not sublicense, transfer, or otherwise make the Platform or Services available to any third party. 4. Subscription and Payment Terms 4.1 Subscription Plans We offer various subscription plans, including free trials and paid options. Details of available plans are provided on our website. By selecting a subscription plan, you agree to the terms, pricing, and payment obligations associated with that plan. 4.2 Payment Subscription fees ("Subscription Fee") are due at the start of each subscription term and are billed on a recurring basis. You are responsible for all applicable taxes and fees. 4.3 Automatic Renewal Subscriptions renew automatically at the end of the subscription term, using the payment method you provided, unless you cancel the subscription before the renewal date. 4.4 Cancellation and Termination You may cancel your subscription at any time, but fees paid are non-refundable. Your access to the Platform will continue until the end of the current subscription term. We reserve the right to suspend or terminate your account for breach of this EULA or failure to pay any fees owed. 5. End User Obligations You agree that you will: Not license, sublicense, sell, resell, transfer, or distribute the Platform or Services to third parties. Ensure that only authorized personnel in your organization have access to and use the Platform. Use the Platform solely for lawful purposes and in compliance with all applicable laws and regulations. Not reverse-engineer, disassemble, or otherwise attempt to discover the source code of the Platform. 6. Data Handling and Privacy You retain all rights to the data you upload to the Platform ("End User Data"). Digital Footprint acts as a data processor and will not disclose your data to third parties, except as required by law or with your consent. You are responsible for obtaining all necessary consents for the collection and use of any personal data included in the End User Data. Digital Footprint is not liable for any loss or unauthorized access to End User Data. 7. Third-Party Integrations While there are no third-party tools currently integrated into the Platform, we may add such integrations in the future. This EULA will be updated accordingly, and you will be notified in advance of any new third-party services that may affect your use of the Platform. 8. Intellectual Property All intellectual property rights in the Platform and Services belong to Digital Footprint. You may not use our trademarks, logos, or other intellectual property without our prior written consent. Any suggestions or feedback provided by you regarding improvements to the Platform will become the property of Digital Footprint. 9. Limitation of Liability To the fullest extent permitted by law, Digital Footprint shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform or Services, including loss of data or business interruptions. Our total liability in relation to any claim under this EULA will not exceed the total amount paid by you under your subscription in the 12 months prior to the event giving rise to the claim. 10. Governing Law and Dispute Resolution This Agreement shall be governed by the laws of India, with Udaipur, Rajasthan as the jurisdiction. Any disputes arising from this Agreement shall be resolved through arbitration conducted in Udaipur, Rajasthan, in accordance with Indian arbitration laws. 11. Modification of Terms We reserve the right to modify or update this EULA at any time. If we make material changes, we will provide notice to you. Continued use of the Platform after any changes to the EULA indicates your acceptance of the updated terms. 12. Force Majeure Neither party will be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, or governmental regulations. 13.
